Welcome to CiaoNest ("CiaoNest", "we", "our", or "us").

These Terms of Service ("Terms") govern your access to and use of the CiaoNest website, mobile applications, services, features, content, communication tools, and related technologies (collectively, the "Platform").

By accessing, browsing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.

CiaoNest is an AI-powered student housing marketplace designed to connect students seeking accommodation with landlords, property owners, hostel operators, accommodation providers, and housing managers.

CiaoNest does not own, lease, manage, operate, control, inspect, endorse, or guarantee any property listed on the Platform unless explicitly stated otherwise.

CiaoNest acts solely as an independent technology platform that facilitates communication and information exchange between users.

All rental agreements, accommodation arrangements, property transactions, negotiations, payments, and housing-related decisions occur directly between students and accommodation providers.

CiaoNest is not a party to any rental agreement, tenancy agreement, lease agreement, accommodation arrangement, roommate agreement, or housing-related contract entered into between users.

To use the Platform, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• Possess the legal authority to enter into binding agreements.
• Provide accurate and complete registration information.
• Comply with all applicable laws and regulations.

If you are under 18 years of age, you may only use the Platform under the supervision and consent of a parent or legal guardian.

We reserve the right to refuse service, suspend accounts, or terminate access to users who fail to meet eligibility requirements.

To access certain features of the Platform, users may be required to create an account.

You agree to:

• Provide accurate, current, and complete information.
• Keep account information updated.
• Maintain the confidentiality of login credentials.
• Accept responsibility for all activities occurring under your account.

Users are prohibited from:

• Creating multiple accounts to circumvent restrictions.
• Impersonating another individual or organization.
• Using false identities.
• Providing fraudulent verification documents.
• Sharing accounts with third parties.

CiaoNest reserves the right to suspend, restrict, or permanently terminate any account that violates these Terms.

Students using the Platform agree that they shall:

• Provide truthful information.
• Submit accurate verification documents when requested.
• Respect property rules established by accommodation providers.
• Comply with applicable laws.
• Maintain respectful communication with landlords and other users.
• Use the Platform solely for lawful housing-related purposes.

Students must not:

• Submit false applications.
• Misrepresent identity or student status.
• Engage in harassment, discrimination, abuse, threats, or illegal conduct.
• Damage property.
• Use the Platform for unlawful purposes.

Students are solely responsible for evaluating accommodation options and determining whether a property meets their needs.

Accommodation providers agree that:

• They possess legal authority to advertise the property.
• Property information is accurate and truthful.
• Photos and descriptions are genuine representations.
• Pricing information is accurate.
• Property availability information is current.
• All applicable laws are followed.

Accommodation providers shall not:

• Post fraudulent listings.
• Misrepresent ownership or management authority.
• Publish deceptive pricing.
• Discriminate unlawfully against users.
• Upload misleading photographs.
• Engage in scams or fraudulent conduct.

Accommodation providers bear sole responsibility for the accuracy of listings.

Property listings displayed on the Platform are created and supplied by accommodation providers.

CiaoNest does not independently verify every statement, photograph, amenity, description, price, safety claim, distance measurement, or feature associated with a listing.

While we may conduct certain verification procedures, such procedures do not constitute a guarantee regarding:

• Ownership.
• Safety.
• Habitability.
• Legality.
• Quality.
• Future conduct of any user.
• Listing accuracy.

Users acknowledge that property information may change over time and should independently verify information before making housing decisions.

The Platform may utilize artificial intelligence, machine learning, automated decision-making systems, algorithms, predictive analytics, recommendation engines, trust scores, ranking systems, and similar technologies.

AI-generated outputs are provided solely for informational and convenience purposes.

Users acknowledge that:

• AI recommendations may contain inaccuracies.
• AI-generated rankings are estimates.
• AI compatibility scores are not guarantees.
• AI-generated trust scores do not constitute endorsements.
• AI recommendations should not be considered legal, financial, housing, safety, or professional advice.

CiaoNest shall not be liable for decisions made based on AI-generated outputs.

CiaoNest does not guarantee:

• Personal safety.
• Property safety.
• User behavior.
• Accommodation quality.
• Roommate compatibility.
• Property condition.
• Neighborhood suitability.
• Future availability.
• Landlord conduct.
• Student conduct.

Users assume all risks associated with housing arrangements, communications, visits, inspections, negotiations, and accommodation decisions.

The Platform may provide messaging, communication, inquiry, and contact-sharing features.

Users are solely responsible for their communications.

CiaoNest does not routinely monitor private communications and is not responsible for statements, representations, promises, agreements, or commitments made between users.

Users should exercise caution when sharing personal information with others.

Users may submit reviews, ratings, comments, feedback, photographs, messages, descriptions, and other content ("User Content").

By submitting User Content, users grant CiaoNest a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, display, modify, distribute, and promote such content for Platform operations, marketing, safety monitoring, and business purposes.

Users are solely responsible for content they publish.

Users shall not post:

• False information
• Defamatory statements
• Hate speech
• Harassment
• Threats
• Sexually explicit content
• Illegal content
• Spam
• Fake reviews
• Manipulated ratings
• Misleading information

CiaoNest reserves the right to remove, edit, restrict, or delete any content without prior notice.

Users shall not:

• Violate any applicable law
• Engage in fraud or scams
• Use automated bots or scraping tools
• Reverse engineer the Platform
• Attempt unauthorized access
• Distribute malware or harmful code
• Interfere with Platform functionality
• Misrepresent identity
• Create fake accounts
• Upload false documentation
• Manipulate reviews
• Harass users
• Discriminate against users
• Conduct illegal transactions
• Use the Platform for criminal purposes

Any violation may result in immediate suspension or permanent termination.

The Platform, including all software, designs, logos, trademarks, graphics, interfaces, databases, AI systems, algorithms, content, source code, branding, and technology, is owned by CiaoNest or its licensors.

Users receive a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal and lawful purposes.

Users may not:

• Copy Platform content
• Reproduce Platform designs
• Create derivative works
• Reverse engineer Platform technology
• Use CiaoNest trademarks without authorization
• Sell or commercialize Platform content

All rights not expressly granted remain reserved by CiaoNest.

The Platform may contain links to third-party websites, applications, services, advertisements, maps, payment providers, social media platforms, universities, landlords, or other external resources.

CiaoNest does not control and is not responsible for:

• Third-party content
• Third-party services
• Third-party policies
• Third-party actions
• Third-party security practices

Users access third-party services at their own risk.

CiaoNest may conduct verification procedures relating to:

• Student identities
• Landlord identities
• Property ownership
• Property information
• Contact information
• Student status

However, verification does not guarantee:

• Safety
• Accuracy
• Authenticity
• Ownership
• Future conduct
• Legality
• Reliability

Users acknowledge that verification is intended to improve trust but does not eliminate risk.

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by law, CiaoNest disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Availability
• Accuracy
• Reliability
• Security
• Performance

CiaoNest does not warrant that:

• The Platform will be uninterrupted
• The Platform will be error-free
• Listings will be accurate
• Users will behave appropriately
• Accommodation will meet expectations
• Communications will be secure

To the maximum extent permitted by applicable law, CiaoNest shall not be liable for:

• Personal injury
• Death
• Assault
• Harassment
• Theft
• Fraud
• Property damage
• Financial losses
• Lost profits
• Business interruption
• Emotional distress
• Housing disputes
• Contract disputes
• Landlord misconduct
• Student misconduct
• Utility failures
• Internet outages
• Building defects
• Property conditions
• Accommodation quality

CiaoNest's total liability arising from or relating to the Platform shall not exceed the greater of:

• (a) One hundred Pakistani Rupees (PKR 100); or
• (b) Any fees directly paid to CiaoNest by the user during the preceding six months.

Users acknowledge that housing decisions involve inherent risks.

Users voluntarily assume all risks associated with:

• Viewing properties
• Visiting properties
• Renting accommodations
• Sharing personal information
• Meeting landlords
• Meeting students
• Entering agreements
• Housing transactions

Users are solely responsible for conducting their own due diligence.

Users agree to defend, indemnify, and hold harmless CiaoNest, its founders, employees, affiliates, advisors, investors, officers, contractors, and representatives from any claims, liabilities, damages, losses, expenses, costs, penalties, or legal fees arising from:

• User conduct
• Violation of these Terms
• User content
• Housing disputes
• Property disputes
• Contract disputes
• Violations of law
• Misrepresentations made by the user

This obligation survives termination of the account.

CiaoNest is not a party to disputes between students and accommodation providers.

Although CiaoNest may attempt to facilitate communication, mediation, or resolution, it has no obligation to:

• Investigate disputes
• Resolve disputes
• Provide compensation
• Enforce agreements

Users remain solely responsible for resolving disputes arising from their interactions.

CiaoNest may suspend, restrict, deactivate, or permanently terminate accounts at its sole discretion if a user:

• Violates these Terms
• Engages in fraud
• Harasses others
• Provides false information
• Creates safety concerns
• Violates laws
• Damages Platform integrity

Termination may occur without prior notice.

Users may also delete their accounts at any time.

CiaoNest shall not be liable for delays, failures, interruptions, or damages caused by events beyond its reasonable control, including:

• Natural disasters
• Floods
• Earthquakes
• Fires
• Government actions
• Political unrest
• Terrorism
• Pandemics
• Internet failures
• Utility failures
• Cyberattacks
• Labor disputes

CiaoNest reserves the right to:

• Modify Platform features
• Add or remove services
• Update algorithms
• Change functionality
• Introduce paid features
• Discontinue features

At any time and without liability.

CiaoNest may update these Terms periodically.

Updated Terms become effective upon publication on the Platform.

Continued use of the Platform constitutes acceptance of revised Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Islamic Republic of Pakistan.

Any legal proceedings shall be subject to the exclusive jurisdiction of the courts located in Pakistan.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms constitute the entire agreement between users and CiaoNest regarding use of the Platform and supersede all prior agreements, understandings, and communications.
